CONDITIONS

1. This Equivalency Certificate authorizes Tesla Motors Canada, Inc., to handle, offer for transport or transport, and authorizes any person to handle or transport on behalf of the certificate holder by road or railway vehicle, or by ship on a domestic voyage, dangerous goods that are UN3480, LITHIUM ION BATTERIES, Class 9, in a manner that does not comply with section 5.14 of the Transportation of Dangerous Goods Regulations, under the following conditions if:

(a) each cell and battery have been determined to meet the criteria for assignment to Class 9 on the basis of tests carried out in accordance with the Recommendations on the Transport of Dangerous Goods - Manual of Tests and Criteria, Part III, subsection 38.3;

(b) each cell or battery incorporates a safety venting device or is designed to preclude a violent rupture under normal conditions of transport;

(c) each cell or battery is equipped with an effective means of preventing external short circuits;

(d) each battery containing cells or series of cells connected in parallel is equipped with effective means as necessary to prevent dangerous reverse current flow (e.g. diodes, fuses, etc.);

(e) the cells or batteries are transported in a UN standardized container capable of meeting the packing group II performance level;

(f) the batteries with a mass of 12 kg or greater and having a strong, impact resistant outer casing, or assemblies of such batteries, may be transported in a strong non-UN standardized container, unpackaged in a protective enclosure (e.g. in fully enclosed or slatted wooden crates) or on a pallet;

(g) the cells or batteries contained in equipment are transported in a strong container in such a manner as to prevent accidental operation during transport;

(h) the cells or batteries are secured to prevent inadvertent movement and the terminals do not support the weight of other superimposed elements; and

(i) the shipping document that accompanies the dangerous goods includes the following information legibly and indelibly printed:

"Equivalency Certificate No. SU 10607 (Ren. 5)"

2. This Equivalency Certificate authorizes Tesla Motors Canada, Inc., to handle, offer for transport or transport, and authorizes any person to handle or transport on behalf of the certificate holder, by cargo aircraft, dangerous goods that are UN3480, LITHIUM ION BATTERIES, Class 9, in accordance with Special Provision A99 and Packing Instruction 965, Chapter 2 of Part 3 of the Technical Instructions for the Safe Transport of Dangerous Goods by Air, referenced in section 12.1 of the Transportation of Dangerous Goods Regulations, under the following conditions if:

(a) each cell and battery have been determined to meet the criteria for assignment to Class 9 on the basis of tests carried out in accordance with the Recommendations on the Transport of Dangerous Goods - Manual of Tests and Criteria, Part III, subsection 38.3;

(b) the mass of one battery, as packaged for transport, is less than or equal to 1 000 kg;

(c) each cell or battery incorporates a safety venting device or is designed to preclude a violent rupture under normal conditions of transport;

(d) each cell or battery is equipped with an effective means of preventing external short circuits;

(e) each battery containing cells or series of cells connected in parallel is equipped with effective means as necessary to prevent dangerous reverse current flow (e.g. diodes, fuses, etc.);

(f) the dangerous goods are transported in a strong outer packaging that meets the requirements of Section I of Packing Instruction 965 of the Technical Instructions for the Safe Transport of Dangerous Goods by Air;

(g) the state of charge (SOC) of the battery must be less than or equal to 30% of the maximum capacity of the battery;

(h) in addition to the requirements of Part 6 (Training) of the Transportation of Dangerous Goods Regulations, the certificate holder ensures that the personnel handling, offering for transport or transporting the dangerous goods is trained in regards to the conditions of this Equivalency Certificate;

(i) a paper or electronic copy of this Equivalency Certificate accompanies the dangerous goods; and

(j) the shipping document that accompanies the dangerous goods includes the following information legibly and indelibly printed:

"Equivalency Certificate No. SU 10607 (Ren. 5)"

Note: The issuance of this Equivalency Certificate in no way reduces the certificate holder's responsibility to comply with any other requirements of the Transportation of Dangerous Goods Regulations, the Technical Instructions for the Safe Transportation of Dangerous Goods by Air, the International Maritime Dangerous Goods Code, and the Canadian Aviation Regulationsnot specifically addressed in this certificate.

Explanatory Note

This Equivalency Certificate authorizes the certificate holder to transport lithium ion batteries in means of containment having a volume over 450 L. The conditions in this Equivalency Certificate reflect the requirements found in Packing Instructions P903 and LP903 of the UN Recommendations on the Transport of Dangerous Goods - Model Regulations.

Also, this Equivalency Certificate is issued by the competent authority of Canada in accordance with Special Provision A99 of the Technical Instructions for the Safe Transport of Dangerous Goods by Air.
